Associate General Counsel – PF and M&A – Connecticut

This firm invests and develops greenfield and brownfield solar projects (pre-NTP) at the DG and C&I levels through partner developers or corporate partners including ground mounted, rooftop, and carport solar.  Using an outsourced EPC, it completes construction of projects and then holds projects until an optimal time to exit.

 

Position Overview:

As the Associate General Counsel, you will be responsible for drafting, reviewing, and negotiating transactions and commercial agreements for the Firm’s investment portfolio

Job location: Hybrid – in office Monday, Wednesday, and Thursday.  Westport, CT area

Reporting: General Counsel

 

Key Responsibilities:

  • Collaborate with the origination and commercial teams to structure investment transactions
  • Draft and negotiate purchase agreements which may be done independently or as part of a co-development or joint venture (JV) structure
  • Review, negotiate, and draft various other agreements such as partnership agreements, JVs, term sheets, and land purchase or lease agreements
  • Draft NDAs, MOUs, and other standard documents
  • Review project documents such as PPAs and project finance documents
  • Conduct legal due diligence on potential community solar and distributed generation projects
  • Coordinate with external counsel as needed including for EPC contract review, permitting matters, and title insurance
  • Provide legal support during fundraising such as reviewing documents and providing input for investment decks
  • Provide general support for matters such as compliance, IP, governance, and other contract management

Requirements:

  • U.S. bar qualified lawyer
  • Project finance and M&A experience
  • Energy sector experience
